User Agreement
Parties
This is a legal agreement between you, or your company, firm or other organization (“Licensee” or “You” or "User"), and Muriel Silva Media, LLC DBA Stocklane (“LICENSOR”).
Please read this agreement carefully before purchasing, downloading or using any content (“Content”) from Licensor, whether from this website or sent to you from our company. If you are entering into this agreement on behalf of your employer, the license granted and restrictions and limitations recited herein apply to your employer and to you as a representative of your employer. Your right to use the Content is subject to the terms, conditions and restrictions set forth in this agreement as well as our general “Terms of Use” on our web site. By accepting these Terms or by downloading any Content, or by payment of our invoice, or by use of our Content, you agree to be bound by the terms of this Agreement. Content is protected by copyright and other applicable law. Any use of the Content other than as authorized under this License or Copyright Law is prohibited.
Content Property
User acknowledges all Content, including but not limited to, images, graphics, logos, icons, text, captions, audio and video clips, digital downloads, data compilations, and software (individually and collectively “Content”), contained on Stocklane.co (the “Site”) is the sole and exclusive property of Muriel Silva Media, LLC DBA Stocklane, and the compilation of the Content on the Site is the sole and exclusive property of Muriel Silva Media, LLC DBA Stocklane, protected by United States trademark, and copyright law. Muriel Silva Media, LLC DBA Stocklane,has the exclusive rights to license and reproduce, display, sublicense, sell, market, or otherwise distribute all such Content found on the website in stock photography format.
User may not transfer her/his membership, transfer Content, sell, lease, assign, or give away or anything similar there of to a third party.
Copyright
Copyright of the images remains with Muriel Silva Media, LLC DBA Stockalne or the original creator of the images and is not transferred to Members.
Credit / Attribution is not required, but always appreciated.
Non-exclusive license
By becoming a User you acknowledge your membership is a non-exclusive limited use license of all Content provided by Stocklane. As a User you may use Stocklane Content for professional use in the normal course of your business and for personal use.
Uses and Editing Content
User may use images for personal or business, online or in print.
User may edit, alter and/or manipulate images as long as User does not violate any restricted uses. Editing includes cropping, resizing and changing image orientation.
User may reproduce the Content for personal or commercial use in digital products including but not limited to, courses, workbooks, ebooks, and other pdfs or downloads where the primary value of the end-product is the content of the digital product, not the design itself.
Prohibited uses
User may not claim Stocklane images as their own.
User may not sell, loan or give away Stocklane images or allow a third-party to use the image(s) in any way.
User may not transfer the images to customers or clients, even if images have been modified in any way, including but not limited to adding graphics or text.
User may not Create derivative products from the images such as templates, screensavers, quote graphics, desktop calendars, printables, art prints, mugs, calendars, clipart, invitations, screensavers or any such products, either for sale or to give away for free.
User may not use Stocklane images to promote stock image related trainings (workshops, online courses, webinars, newsletters, blog posts).
User may not use Content in any way that allows others to download, extract, or redistribute the Content.
User may not transfer membership or login credentials to a third-party, whether a client, customer or business-partner.
User may not include the stock assets in website templates, design templates, quote templates, or any other editable product for sale or free distribution.
User may not use Content as part of a trademark, design mark, trade name, business name, service mark, or logo.
User may not use Content in a defamatory, offensive, pornographic or other unlawful manner.
User may not use the images or stock assets for client/customer work.
User may not use the images or stock assets for client/customer social media management, even if the assets or images are not being transferred to the client/customer.
User may not use the stock assets for ebooks or physical books to be sold on Amazon, similar mass distribution sites or traditional publishing houses.
Additionally, User may not edit, alter and/or manipulate images, including but not limited to, content containing profanity, sexually explicit material, unlawful material, hate speech or any other offensive material.
User may not sell, trade or give away Content as standalone files even if you have modified the design by adding text, graphics, or other design elements without an Extended License.
User may not use the Content to market or sell other photography or videography related products, services, workshops, courses, or similar resources whether free or paid.
User may not sell or give away any templates as editable templates even if you have customized or made modifications to them.
User may not use the templates to create end-products for sale like graphics, planners, or templates where the primary value of the end product is the design even if you have customized or made modifications to them.
The determination of whether any use of the Content violates the restrictions of this Section may be made by Licensor in its sole and absolute discretion. You agree to immediately terminate any such use on Licensor’s request and your access to Licensor’s Content will be immediately revoked.
Restricted Uses & Commercial Memberships
Unless User has purchased a Multi-License Commercial Membership, User may not use Stocklane Content for other people, other businesses, or other accounts and social media platforms. Each subscription is an individual account for one (1) sole member. If using images for others and has not purchased a Multi-License Commercial Membership, a separate membership must be purchased for each client/account. One (1) usage license is granted per purchase.
User may not allow or grant permission to other companies or individuals to repurpose Content for commercial, promotional, endorsement, advertising or merchandising purposes.
Where the main value lies in the Content itself, you may not use Content in connection with any goods or services intended for resale or distribution.
Agency Memberships are Multi-License Commercial Memberships that allow a User to use Stocklane images in the creation of content for the User's clients for marketing, social media, website and branding, advertising, and other promotional uses. Agency Memberships do not have limitations on the number of clients the User can use Stocklane images for. Agency Memberships do not allow the transfer of images to clients or third parties, but can only be used by the Agency in the creation of work-product for their clients. If the User's client wishes to manage images, please direct them to Stocklane to purchase their own membership. Agency Memberships do not include usage of images for the creation of products for resale - please contact Stocklane to purchase an Extended Commercial License.
User Rights
The rights granted to User are non-transferable and non-sublicensable (User cannot transfer, license, or sub-license to anyone else).
Representations, Warranties and Disclaimers
Licensor offers the Content “AS IS” and makes no representations or warranties of any kind concerning the Content or any element thereof, express, implied, statutory or otherwise, including without limitation warranties of title, merchantability, fitness for a particular purpose, non-infringement, or the absence of latent or other defects, accuracy, or the presence or absence of errors, whether or not discoverable. If your jurisdictions does not acknowledge the exclusion of implied warranties then the exclusion may not apply to you.
Liability Limitation
Members acknowledge that Muriel Silva Media, LLC DBA does not make any representations or assurances of non-infringement and does not make claim to have received releases from any brands, designers, or manufacturers for use of products, registered trademarks, logos or intellectual property portrayed in the images. Members agree that neither Muriel Silva nor Muriel Silva Media, LLC DBA Stocklane shall be liable for any damages resulting from the use of any of the images provided. Muriel Silva Media, LLC DBA Stocklane shall not be liable for any claims related to, or resulting from, your use of the images, which may or may not have been modified by you, or combined with other content.
Termination
We reserve the right in our sole discretion to refuse or terminate your access to the Website and its Content, in full or in part, at any time without notice. In the event of cancellation or termination, you are no longer authorized to access the part of the Website or Content affected by such cancellation or termination.
We reserve the right in our sole discretion to terminate your access to the Website and its Content if we suspect abusive use of your membership.
The restrictions imposed on you in these Terms & Conditions with respect to the Website and its Content will still apply now and in the future, even after termination by you or us.
Non-Disparagement
If you are found to be slandering, libeling or otherwise disparaging our Company, Offering(s) or related materials at our discretion, You will be immediately removed from the Offering(s) and any related communications. We reserve the right to file a civil claim of action against You for any such damaging actions You take that materially harm our Company.
Refunds
Due to the digital nature of our Offering, we do not offer refunds. Members may cancel their subscription at any time. There will be no refunds or credits for partial months of service, or for unused download credits.
Recurring Payments
If User has signed up for a recurring membership plan, the User hereby authorizes our continued access to User's financial information stored by our third party financial processing company referenced in this Agreement until membership is cancelled, as set forth in the acceptance of the purchase terms upon checkout.
All monthly, quarterly and annual plans are auto-billed on a recurring basis according to the subscription payment schedule.
Refunds will NOT be given in the event that User does not cancel membership prior to the renewal date.
Should the payment method the User provides be declined in for subsequent payments, we will attempt to process the payment within 5 business days. If the payment method continues to be declined and an alternate payment method is not arranged, membership will be terminated.
